Welcome to StudioStream! These Terms and Conditions (“Terms”) govern your access to and use of the StudioStream website, platform, applications, and services (collectively, the “Services”) provided by StudioStream Inc. (“StudioStream,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and agree to comply with these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

4.2 Prohibited Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose.

• Distribute viruses, malware, or other harmful code.

• Attempt to reverse-engineer, decompile, or hack the Services.

• Interfere with or disrupt the integrity or performance of the Services.

• Reproduce, distribute, or modify any part of the Services without prior written permission.

5. User Content

5.1 Ownership

You retain ownership of any content you upload, post, or create through the Services (“User Content”). By submitting User Content, you grant StudioStream a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and modify your User Content solely for the purpose of providing and improving the Services.

5.2 Responsibility

You are solely responsible for your User Content and any consequences arising from it. StudioStream does not endorse or guarantee the accuracy, quality, or legality of User Content.

5.3 Removal

We reserve the right to remove or disable access to any User Content that violates these Terms or applicable laws, at our sole discretion.

6. Intellectual Property

All content, trademarks, logos, and materials provided through the Services (excluding User Content) are the property of StudioStream or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without prior written consent.

7. Payment and Subscriptions

7.1 Fees

Certain features of the Services may require payment. All fees are outlined on our pricing page and are non-refundable unless otherwise stated.

7.2 Billing

If you subscribe to a paid plan, you authorize us to charge your provided payment method on a recurring basis (e.g., monthly or annually). You may cancel your subscription at any time, but no refunds will be issued for partial billing periods.

7.3 Price Changes

We may adjust pricing for the Services at any time. We will notify you in advance of any price changes affecting your subscription.

8. Termination

8.1 By You

You may terminate your account at any time by contacting us at paul@studiostream.com or through your account settings.

8.2 By Us

We may suspend or terminate your access to the Services at our discretion, with or without notice, if you violate these Terms or for any other reason we deem necessary.

8.3 Effect of Termination

Upon termination, your license to use the Services ends, and we may delete your account and User Content.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, StudioStream and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability to you will not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold StudioStream harmless from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Services, your User Content, or your violation of these Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. Arbitration will take place in Tom Green County (San Angelo), Texas. 

13. Miscellaneous

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and StudioStream regarding the Services.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
